Acceptance of Terms: These Terms and Conditions (“Terms”) govern your use of the products, APIs, and related services (“Services”) provided by Sidobe (when we speak of “Company”, “Sidobe”, “we”, or “our”, we mean Sidobe). By accessing or using our Services, you agree to comply with and be bound by these Terms.
License: Company grants you a non-exclusive, non-transferable, revocable license to access and use the Services, subject to the limitations specified in these Terms.
Changes to Terms and Conditions: We reserve the right to change or modify these Terms at any time and without prior notice. Any changes will become effective when posted on our website. Continued use of the Services after such changes means you accept the modifications.
Property rights
Pricing: Prices for our services are subject to change without notice. The Company reserves the right to modify or discontinue services at any time without liability.
Payment: All payments are processed securely through a third-party payment processor. You agree to provide accurate and complete payment information and authorize us to charge your payment method for all purchases made through our Services.
Usage Rules & Restrictions
All Company users must follow this acceptable usage policy. Violation of this policy may result in suspension or termination of your account.
Prohibited Use:
- You agree not to use this service for purposes that are unlawful, disruptive, detrimental, or violate the rights of others, including but not limited to distributing malware, spam, or copyrighted content without authorization.
- Sending unsolicited bulk messages or spam through any connected messaging platform.
- Sending fraudulent, misleading, or unjustified information.
- Circumventing or abusing the API to send automated or bulk messages without recipient consent.
- The Company may refuse to provide service, terminate any user’s account, or modify eligibility requirements at any time.
- You represent that you are over 18 years of age and are fully able and competent to agree to these Terms.
API Rate Limits & Fair Usage:
To ensure stable operation for all users, Sidobe may enforce reasonable rate limits and fair usage policies.
Excessive or abusive API calls, automated flooding, or traffic that degrades system performance may result in temporary throttling or suspension.
Sidobe reserves the right to adjust these limits at any time to maintain service integrity.
Data Confidentiality and Security Compromise
- Sidobe does not sell, rent, or share customer databases with third parties.
- Sidobe will maintain the confidentiality of any data received and will not use it for purposes other than those described in these Terms.
- Sidobe will take reasonable security measures to prevent unauthorized access, loss, or modification of your data.
- Sidobe does not sell or share personal identification information (such as mobile numbers) for commercial or marketing purposes.
- Sidobe is not obliged to replace numbers that become blocked.
Sidobe cannot guarantee that the number connected to its Services or APIs will not be blocked by the official messaging platform. Sidobe can only recommend best practices to reduce the risk of blocking:
- Connect Instant Messaging numbers that are> 30 days old or previously used to move humanely in the form of reply chats, save contact, join groups, send photos, scan qr code on personal desktop Instant Messaging, fill in profile details, and other types of activities in Instant Messaging chat application.
- Avoid sending spam messages or mass messages or blasters that are not desired by the recipient of the message.
- Make informed consent or request permission to the recipient of the message before sending Instant Messaging Automatic messages to those who state that they are willing to send messages via Instant Messaging.
- Avoid sending messages in more than 500 messages/hour.
- Avoid sending messages with words or sentences that are 100% identical to many numbers.
Service Conditions
Please read this section carefully. You agree to these provisions by using the Services.
- Sidobe provides messaging and automation APIs accessible via sidobe.com and its subdomains, allowing users to integrate and manage Instant Messaging communications programmatically.
- Your payments cover the use of Sidobe’s platform, hardware, and software infrastructure. Instant Messaging messages themselves are transmitted through third-party networks and are free.
- You agree to hold Sidobe harmless from any damage, liability, loss, or expense arising from your use of the Services or violations of these Terms.
- Sidobe or you may terminate this agreement at any time, with or without notice. If we terminate your account without cause, you may be eligible for a partial refund. No refund will be provided for violations of these Terms.
- You are responsible for maintaining the confidentiality of your credentials. Sidobe is not liable for loss or damage arising from unauthorized access to your account.
- You are solely responsible for the actions and data transmitted through your account or API credentials.
- Sidobe shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunity.
- In no event shall Sidobe’s total liability exceed the amount you paid for the Services in the three (3) months preceding the incident.
- Sidobe is not responsible for service delays or failures caused by factors beyond our control, including changes to messaging platform policies, regulations, wars, natural disasters, or third-party outages.
- Sidobe publicly states that it is not affiliated, sponsored, authorized, or endorsed by WhatsApp Inc., Meta Platforms, or any of their subsidiaries.
- “WhatsApp” and related marks are registered trademarks of their respective owners. Any use of such marks is for descriptive identification only and does not imply any relationship or endorsement.
- Sidobe may update these Terms periodically. Continued use after updates constitutes acceptance of the revised Terms.
- Sidobe does not guarantee uninterrupted or error-free operation of the Services or APIs.
- Sidobe reserves the right to enforce fair usage and rate limits as described in the Usage Rules & Restrictions section.
User Responsibility
Users are solely responsible for ensuring that their use of Sidobe’s APIs and Services complies with applicable laws and messaging platform policies.
Users must obtain all necessary permissions from message recipients before sending automated or bulk messages.
Sidobe provides only the delivery technology and is not responsible for message content or the legality of communications.
Disclaimer
Sidobe is an independent software provider and is not affiliated, associated, authorized, endorsed by, or in any way officially connected with WhatsApp Inc., Meta Platforms, or any of their subsidiaries.
The use of “WhatsApp” and related marks are for identification purposes only.
Sidobe provides its Services and APIs “as is” and “as available”, without warranties of any kind, whether express or implied.
Jurisdiction
These Terms shall be governed by and construed in accordance with the principles of international contract law.
Any disputes shall first be resolved through good faith negotiation. If unresolved, they shall be submitted to a neutral arbitration forum under internationally recognized arbitration rules.
By using the Services, you agree that arbitration shall be the exclusive remedy for any dispute, and you waive the right to pursue any claim in any court or jurisdiction.
